(Note 1) Before amendment: Accordingly, these new shares are not being offered directly to investors; the company plans to issue all new shares related to the ADR issuance as underlying shares to the overseas depositary. Accordingly, the overseas depositary will be the third party in the third-party placement of the new shares. For the issuance of the ADRs, the company filed a Form F-1 registration statement with the U.S. Securities and Exchange Commission ("SEC") on June 24, 2026, filed an amendment on June 30, 2026, and plans to file a further amendment on the date of this report. After amendment: Accordingly, these new shares are not being offered directly to investors; the company plans to issue all new shares related to the ADR issuance as underlying shares to the overseas depositary. Accordingly, the overseas depositary will be the third party in the third-party placement of the new shares. For the issuance of the ADRs, the company filed a Form F-1 registration statement with the SEC, which became effective on July 9, 2026 U.S. time.
(Note 2) Before amendment: As described above, while no domestic offering, or offering to domestic residents, is planned with respect to the new shares or the ADRs, the company filed a securities registration statement with the Financial Services Commission on June 24, 2026, in case the issuance of the new shares (the underlying shares for the ADRs) to the overseas depositary falls under the resale criteria deemed to constitute an offering or sale of securities under Article 11(3) of the Enforcement Decree of the Financial Investment Services and Capital Markets Act and Articles 2-2 and 2-2-2 of the Regulation on Issuance and Disclosure of Securities, etc., in connection with the possibility of the underlying shares flowing into Korea upon conversion of the ADRs into underlying shares; the company filed an amendment on June 30, 2026, and plans to file a further amendment on the date of this report. After amendment: As described above, while no domestic offering, or offering to domestic residents, is planned with respect to the new shares or the ADRs, the company filed a securities registration statement with the Financial Services Commission for the same reason described above, which became effective on July 10, 2026.
(Note 3) Before amendment: 2) The number of new shares in "1. Type and number of new shares" above is the maximum offering limit for the new shares, which is purely a reference figure; the final number will be determined within that limit based on the ADR quantity to be determined reflecting the results of bookbuilding in the ADR's listing offering process. After amendment: 2) The number of new shares in "1. Type and number of new shares" above is the number calculated by applying the ratio of the new shares to the ADRs (1:10) to the ADR quantity determined reflecting the results of bookbuilding in the ADR's listing offering process.
(Note 4) Before amendment: 3) Regarding "4. Purpose of capital raising" above, all funds raised through the issuance of the new shares (ADRs) will be used as facility funds, and the amount will be determined once the total offering amount of the new shares is finalized. After amendment: 3) Regarding "4. Purpose of capital raising" above, all funds raised through the issuance of the new shares (ADRs) will be used as facility funds.
(Note 5) Before amendment: 4) Regarding "6. New-share issue price" and "7. Base share price" above, where a listed company such as the company conducts a rights offering by third-party placement, under Article 5-18(1) of the Regulation on Issuance and Disclosure of Securities, etc. (the "Issuance Disclosure Regulation"), the issue price of the new shares is determined by applying a discount rate set by the company to the base share price, being the weighted average price (the total trading value of the relevant stock on the securities market divided by the total trading volume during that period) from the 5th to the 3rd trading day before the subscription date, and the discount rate must be set within 10%. However, as the subscription date had not yet arrived, the base share price and discount rate (premium rate) for "7. Base share price" were not stated, and the amount stated in "6. New-share issue price" is merely a reference figure, being the company's common-share closing price of KRW 2,425,000 on the day before the filing date of this amendment (July 3, 2026), and does not represent the actual issue price. The company plans to disclose the base share price, issue price and discount rate (premium rate) through an amendment to this report once finalized. The issue price of the ADRs will be determined reflecting the results of bookbuilding in the ADR's listing offering process, subject to compliance with the minimum ADR issue price, calculated by multiplying the minimum issue price of the new shares under Article 5-18(1) of the Issuance Disclosure Regulation (the base price with a 10% discount applied) by (i) the ratio of the new shares to the ADRs (1:10) and (ii) the first-announced Korean-won/U.S.-dollar base exchange rate quoted by Seoul Money Brokerage Services, Ltd. on the ADR pricing date (U.S. time), July 9, 2026. After amendment: 4) Regarding "6. New-share issue price" and "7. Base share price" above, where a listed company such as the company conducts a rights offering by third-party placement, under Article 5-18(1) of the Issuance Disclosure Regulation, the issue price of the new shares is determined by applying a discount rate set by the company to the base share price, being the weighted average price from the 5th to the 3rd trading day before the subscription date, and the discount rate must be set within 10%. The base share price and discount rate (premium rate) in "7. Base share price" are KRW 2,190,229 and 2.72%, respectively. The amount stated in "6. New-share issue price" is the ADR offering price determined reflecting the results of bookbuilding in the ADR's listing offering process, multiplied by (i) the first-announced Korean-won/U.S.-dollar base exchange rate of KRW 1509.90 (as written in the filing) quoted by Seoul Money Brokerage Services, Ltd. on the pricing date (U.S. time), July 9, 2026, and (ii) the ratio of the new shares to the ADRs (1:10); the premium over the above base amount of KRW 2,190,229 is 2.72%.
(Note 6) Before amendment: 5) "9. Payment date," "11. Scheduled date for delivery of new share certificates" and "12. Scheduled listing date of new shares" above are reference scheduled dates. After amendment: 5) "9. Payment date" and the subscription date above have been set as July 14, 2026; "11. Scheduled date for delivery of new share certificates" has been set as July 15, 2026. "12. Scheduled listing date of new shares" is expected to be July 29, 2026 but may change.
(Note 7 - deleted) Before amendment: Unlike a typical domestic third-party-placement rights offering, the amount and price of the new shares' offering (subscription) are determined based on the ADR's offering quantity and offering price, which are finalized on the pricing date reflecting the results of the ADR's bookbuilding. Given this structure, fixing a specific date now as the subscription date for this offering would fix, as of that date, the base share price under Article 5-18(1) of the Issuance Disclosure Regulation for the new shares and the resulting minimum offering price, which would be inconsistent with the structure of this offering, in which the new-share offering price is determined based on the ADR's offering price, finalized reflecting the results of the ADR's bookbuilding. As the pricing date fixing the ADR's offering price may vary with market conditions, the subsequent subscription date, payment date, scheduled date for delivery of new share certificates, and scheduled listing date of new shares may also vary accordingly. The company therefore intends to set the subscription date and payment date at a date within the period from July 13, 2026 to July 20, 2026, in consideration of the possible variation in the pricing date. The payment date, scheduled date for delivery of new share certificates, and scheduled listing date of new shares stated in this report are reference scheduled dates, and as the related schedule will be finalized once the ADR offering price is determined reflecting the results of the subsequent bookbuilding, please note that an amendment to this report will be filed disclosing any change to the schedule stated in this report. After amendment: <deleted>
(Note 8) Before amendment: 7) For details of the issuance of the new shares and the ADRs, please refer to the securities registration statement filed with the Financial Services Commission by the company on the same date as this report. After amendment: 7) For details of the issuance of the new shares and the ADRs, please refer to the amendment finalizing the securities issuance terms filed with the Financial Services Commission by the company on the same date as this report.
(Note 9 - deleted) Before amendment: 8) The company plans to file a further amendment to this report once the above matters are changed or finalized. After amendment: <deleted>

(Note 11) [Selection process, transaction history, allotment details, etc. for each third-party placement allottee] Before amendment: Third-party placement allottee Citibank, N.A.; relationship with the company or largest shareholder -; selection process -; transactions and plans within 6 months before/after the capital-increase decision -; number of shares allotted (shares) -; note see below. Note: as these new shares are not offered directly to investors but issued by third-party placement, the company plans to deposit all of the new shares issued for the ADR issuance, as underlying shares, with the overseas depositary, Citibank, N.A. (provided that the Korea Securities Depository will hold the new shares as domestic custodian on behalf of the overseas depositary). Accordingly, the overseas depositary will be the third party in the third-party placement of the new shares. The overseas depositary, the allottee of this rights offering, is not a related party of the company or the company's largest shareholder under Article 2(4) of the Enforcement Decree of the Financial Investment Services and Capital Markets Act, and the company plans to enter into a deposit agreement with the overseas depositary (the "Deposit Agreement") regarding the deposit of the new shares and the issuance of the ADRs. The number of shares allotted will be finalized within the maximum offering limit of the new shares based on the ADR quantity to be determined reflecting the results of bookbuilding in the ADR's listing offering process. After amendment: Number of shares allotted (shares): 17,790,000. Note: same as above, except the final sentence now reads: the number of shares allotted is the number calculated by applying the ratio of the new shares to the ADRs (1:10) to the ADR quantity determined reflecting the results of bookbuilding in the ADR's listing offering process.

1) [Note 1, as amended:] These new shares are being issued as the underlying shares on which the ADRs are based. The company plans to raise funds by issuing an ADR offering to overseas investors, excluding domestic residents, using the new shares now being issued as the underlying shares. Accordingly, no offering or sale of the new shares now being issued will occur domestically. Unlike a typical domestic third-party placement of shares, no specific individual or institutional allotment of the ADRs or the new shares is predetermined. The ADRs will be acquired on the issue date by investors determined through the overseas issuance process, and the underlying shares will be deposited immediately upon issuance with the overseas depositary, Citibank, N.A. (the "Overseas Depositary"); in practice, the underlying shares will be held by the Korea Securities Depository as the domestic custodian on behalf of the Overseas Depositary. Accordingly, these new shares are not being offered directly to investors; the company plans to issue all new shares related to the ADR issuance as underlying shares to the Overseas Depositary. Accordingly, the Overseas Depositary will be the third party in the third-party placement of the new shares. For the issuance of the ADRs, the company filed a Form F-1 registration statement with the U.S. Securities and Exchange Commission ("SEC"), which became effective on July 9, 2026 U.S. time. No domestic offering, or offering to domestic residents, is planned with respect to the new shares or the ADRs, and domestic residents may not participate in the ADR offering process. As described above, the company also filed a securities registration statement with the Financial Services Commission in case the issuance of the new shares (the underlying shares for the ADRs) to the Overseas Depositary falls under the resale criteria deemed to constitute an offering or sale of securities under Article 11(3) of the Enforcement Decree of the Financial Investment Services and Capital Markets Act and Articles 2-2 and 2-2-2 of the Regulation on Issuance and Disclosure of Securities, etc.; this registration statement became effective on July 10, 2026. 2) The number of new shares in "1. Type and number of new shares" above is the number calculated by applying the ratio of the new shares to the ADRs (1:10) to the ADR quantity determined reflecting the results of bookbuilding in the ADR's listing offering process. 3) Regarding "4. Purpose of capital raising" above, all funds raised through the issuance of the new shares (ADRs) will be used as facility funds. 4) Regarding "6. New-share issue price" and "7. Base share price" above, under Article 5-18(1) of the Issuance Disclosure Regulation, the issue price of the new shares is determined by applying a discount rate set by the company to the base share price, being the weighted average price (the total trading value of the relevant stock on the securities market divided by the total trading volume during that period) from the 5th to the 3rd trading day before the subscription date, and the discount rate must be set within 10%. 5) "9. Payment date" and the subscription date above have been set as July 14, 2026; "11. Scheduled date for delivery of new share certificates" has been set as July 15, 2026. "12. Scheduled listing date of new shares" is expected to be July 29, 2026, but may change. 6) At its board meeting on June 24, 2026, the company resolved to issue the new shares and list them for additional trading on the Korea Exchange, and to issue the ADRs and newly list them on the Nasdaq Stock Market (Nasdaq Global Select Market) in the United States, and delegated authority to decide the following matters to the CEO or a person designated by the CEO: (i) authority to determine and change, within the maximum offering limit of the new shares resolved by the board above (17,790,000 shares), the detailed terms and schedule of the new-share and ADR issuances, including the issuance quantity and per-share issue price of the new shares and the ADRs, reflecting the results of bookbuilding in the ADR's listing offering process; (ii) authority to prepare, file and sign all filings and disclosure documents submitted to relevant domestic and overseas institutions in connection with the new-share issuance, the ADR issuance, and the domestic and overseas listings (including the domestic securities registration statement, foreign-exchange transaction filing, and the U.S. Form F-1, etc.); (iii) authority to prepare, draft, negotiate, determine terms for, sign, execute and deliver all agreements and documents, including the underwriting agreement and the deposit agreement, entered into in connection with the new-share issuance, the ADR issuance, and the domestic and overseas listings; and (iv) authority to decide and execute all other necessary administrative matters and procedures in connection with the new-share issuance, the ADR issuance, and the domestic and overseas listings. 7) For details of the issuance of the new shares and the ADRs, please refer to the amendment finalizing the securities issuance terms filed with the Financial Services Commission by the company on the same date as this report.
