Other material matters relevant to investment decisions * The per-share issue price in this notice is the first (preliminary) issue price; the final issue price will be announced on September 1, 2026 according to the formula below. Under Article 5-18 of the Regulation on Issuance and Disclosure of Securities, the price-setting procedure for a rights-offering capital increase has been abolished and pricing has been liberalized, allowing the issue price to be set freely; however, due to concerns about market disruption and prior practice, the price is set as follows, applying by analogy part of the former Regulation on Issuance and Disclosure of Securities, Article 57 (old). (1) First issue price: Using the third trading day before the new-share allotment record date as the base date, the base share price is the lower of (i) the simple average of the one-month volume-weighted average price, the one-week volume-weighted average price, and the most recent closing price, all on the KOSDAQ market, and (ii) the most recent closing price; a 25% discount is then applied, and the issue price (first issue price) is calculated using the formula below. Amounts below the quotation unit are rounded up to the nearest quotation unit, and if the resulting price is below par value, par value is used as the issue price. First issue price = [base share price x (1 - discount rate)] / [1 + (capital-increase ratio x discount rate)] (2) Second issue price: Using the third trading day before the existing shareholders' subscription date as the base date, the base share price is the lower of (i) the simple average of the one-week volume-weighted average price and the most recent closing price, both on the KOSDAQ market, and (ii) the most recent closing price; a 25% discount is applied, and the issue price (second issue price) is calculated using the formula below. Amounts below the quotation unit are rounded up to the nearest quotation unit, and if the resulting price is below par value, par value is used as the issue price. Second issue price = base share price x (1 - discount rate) (3) Final issue price: The final issue price is the lower of the first and second issue prices. However, under Article 165-6 of the Financial Investment Services and Capital Markets Act and Article 5-15-2 of the Regulation on Issuance and Disclosure of Securities, if the lower of the first and second issue prices is lower than the price obtained by applying a 40% discount to the volume-weighted average price for the period from the 3rd to the 5th trading day before the existing shareholders' subscription date, that 40%-discounted price becomes the final issue price. Amounts below the quotation unit are rounded up to the nearest quotation unit, and if the resulting price is below par value, par value is used as the issue price. (4) The final issue price will be determined on the third trading day before the first day of the existing shareholders' subscription period and will be disclosed on the Financial Supervisory Service's electronic disclosure system (DART); the Company will also post it on its website (http://www.futurechem.co.kr) in lieu of individual notice.
