(a) Method of determining the issue price: (1) New share issue price: This rights offering will proceed by general public offering, and the issue price will be calculated by applying a 30% discount in accordance with the issue-price calculation method for general public offerings under Articles 5-16 and 5-18 of the Regulation on Securities Issuance and Disclosure, etc.; if the calculated price is at or below par value, par value will be used as the issue price. (2) Expected issue price: Calculated by applying a 30% discount in accordance with the issue-price calculation method for general public offerings under Articles 5-16 and 5-18 of the Regulation on Securities Issuance and Disclosure, etc. The expected offering price is calculated using the board resolution date as the base date, taking the volume-weighted arithmetic average price (total trading value of the relevant stock on the securities market divided by total trading volume) over the 3rd to 5th trading days before the base date as the base share price, and applying a 30% discount to that price. If the calculated price is at or below par value, par value will be used as the expected offering price, and amounts below the quotation unit will be rounded up to the quotation unit. (3) Final issue price: Under Article 5-18 (Determination of the Issue Price for Rights Offerings) of the Regulation on Securities Issuance and Disclosure, etc., the price will be calculated using the volume-weighted arithmetic average price over the 3rd to 5th trading days before the general public subscription date as the base share price, with a 30% discount applied. Accordingly, the final issue price, calculated by applying a 30% discount to the base share price over the 3rd to 5th trading days before the subscription date, will be disclosed on the Financial Services Commission's (Financial Supervisory Service's) electronic disclosure system and posted on the company's website in lieu of individual notice. If the calculated price is at or below par value, par value will be used as the final issue price, and amounts below the quotation unit will be rounded up to the quotation unit.
(b) Subscription handling offices: (1) Subscription office: SK Securities Co., Ltd.; (2) Payment bank for share subscriptions: Industrial Bank of Korea, Daedeok Industrial Complex Branch
(c) Subscription method: (1) Subscribers present valid identification, a subscription form, and subscription deposit money at the designated subscription office in accordance with the subscription method determined and disclosed in advance by that office. The subscription deposit money is 100% of the subscription amount and will be converted to the payment amount on the payment date, with no interest paid on the subscription deposit money. Double subscription at a single subscription office is not permitted, and subscribers may not make multiple subscriptions at a single subscription office (except for collective investment schemes under different operators). (2) High-risk high-yield investment trusts and venture company investment trusts must, when subscribing, submit to the subscription office documents confirming that they meet the requirements under Article 2, etc. of the Regulation on Securities Underwriting Business, etc., together with documents stating total asset amount. (3) Investors who wish to subscribe to this rights offering (excluding professional investors under Article 9, Paragraph 5 of the Financial Investment Services and Capital Markets Act and those exempted from receiving a prospectus under Article 132 of its Enforcement Decree) must receive a prospectus before subscribing and sign or seal a document confirming this.
(d) Allotment method based on subscription results: (1) Under Article 9, Paragraph 2, Items 3 and 4 of the Regulation on Securities Underwriting Business, etc., at least 10% of total general-offering shares will be allotted to high-risk high-yield investment trusts, etc. In addition, at least 30% of the general-offering allotment will be allotted to venture company investment trusts, and under Article 9, Paragraph 2, Items 4 and 6 of the Regulation on Securities Underwriting Business, etc., shares allotted to a venture company investment trust will be kept within 10/100 of that trust's total asset amount under Article 9, Paragraph 8 of the Regulation. In this case, total asset amount is calculated based on data submitted by the institutional investor operating the relevant high-risk high-yield investment trust or venture company investment trust. The remaining general-offering shares will be allotted without distinction between individual and institutional subscribers. Subscription competition ratios for the 10% allotted to high-risk high-yield investment trusts, the 30% allotted to venture company investment trusts, and the 60% allotted to individual and institutional investors will be calculated and allotted separately. However, if only one group is undersubscribed, the undersubscribed shares will be allotted to the oversubscribed group. (2) If, as a result of general-offering subscriptions, the total number of shares subscribed for by general subscribers exceeds the number of shares offered, shares will be allotted pro rata according to the subscription competition ratio, in principle rounding to the nearest share, to minimize residual shares. Any final residual shares will then be allotted sequentially starting with the subscriber(s) who subscribed for the largest number of shares; if subscribers tied for the largest subscription exceed the final residual shares, the lead underwriter will allot them by a reasonable method. (3) If, as a result of general-offering subscriptions, the total number of shares subscribed for by general subscribers is less than the number of shares offered, shares will be allotted as subscribed, and any resulting residual shares will not be issued.
