a. Method of determining the new share issue price: Under Article 5-18 of the Regulation on Issuance and Disclosure of Securities, the issue price for a shareholder-allotted capital increase may in principle be freely determined following the abolition of the mandatory pricing procedure and the liberalization of price determination; however, to avoid market disruption and in line with existing practice, the Company will apply, by partial analogy, the method under Article 57 of the former Regulation on Issuance and Disclosure of Securities, calculated as described in "I. General Matters Concerning the Offering or Sale, 3. Method of Determining the Offering Price." - Basis for the expected issue price: The expected issue price in this securities registration statement is calculated using, as the reference share price, the lower of (i) the simple average of the one-month weighted average price, the one-week weighted average price, and the base-date weighted average price, each calculated by dividing the trading value by the trading volume on the KOSDAQ market, with the base date being the trading day immediately preceding the board resolution date (2026-04-14), and (ii) the base-date weighted average price, and then applying a 25% discount rate. However, if the offering price resulting from the discount is below par value, the par value shall be used as the issue price, and any amount below the minimum quotation unit shall be rounded up. Expected issue price = [Reference share price x (1 - discount rate)] / [1 + (capital increase ratio x discount rate)] - Basis for the confirmed issue price: 1) First issue price: Using as the reference share price the lower of (i) the simple average of the one-month weighted average price, the one-week weighted average price, and the base-date weighted average price, each weighted-averaged by trading volume on the KOSDAQ market, with the base date being the third trading day before the new share allotment record date, and (ii) the base-date weighted average price, determined by the formula below with a 25% discount rate applied (provided that any amount below the minimum quotation unit is rounded up to the minimum quotation unit, and if the resulting price is at or below par value, par value shall be used). First issue price = Reference share price x (1 - discount rate) / [1 + (capital increase ratio x discount rate)] 2) Second issue price: Using as the reference share price the lower of (i) the simple average of the one-week weighted average price and the base-date weighted average price, each weighted-averaged by trading volume on the KOSDAQ market, with the base date being the third trading day before the first day of the existing shareholders' subscription period, and (ii) the base-date weighted average price, determined by the formula below with a 25% discount rate applied (provided that any amount below the minimum quotation unit is rounded up to the minimum quotation unit, and if the resulting price is at or below par value, par value shall be used). Second issue price = Reference share price x (1 - discount rate) 3) Confirmed issue price: The lower of the first issue price and the second issue price is the confirmed issue price. However, pursuant to Article 165-6 of the Financial Investment Services and Capital Markets Act and Article 5-15-2 of the Regulation on Issuance and Disclosure of Securities, if the lower of the first and second issue prices is lower than the price calculated by applying a 40% discount rate to the weighted average price from the third to the fifth trading day before the subscription date, that latter price (the price calculated by applying a 40% discount rate to the weighted average price from the third to the fifth trading day before the subscription date) shall be the confirmed issue price (provided that any amount below the minimum quotation unit is rounded up to the minimum quotation unit, and if the resulting price is below par value, par value shall be used). Confirmed issue price = MAX[MIN(first issue price, second issue price), 60% of the reference share price] The final issue price will be determined on the third trading day before the first day of the existing shareholders' subscription period and disclosed on the Financial Supervisory Service's electronic disclosure system (DART), and will be announced on the Company's website (http://www.hanwoolsemi.com) in lieu of individual notice.
b. Method of allotting new shares (1) Subscription by existing shareholders (preemptive rights certificate holders): Shareholders registered in the shareholder register as of 18:00 on the "new share allotment record date" (the "existing shareholders") will be allotted shares calculated by multiplying their holdings by 0.5643492555 shares per share (with any fraction less than one share rounded down), and will be allotted the quantity subscribed within that allotment. However, the number of shares allotted per share may change due to the exercise of equity-linked bonds, changes in treasury shares, etc. before the new share allotment record date. (2) Oversubscription: If forfeited shares arise after the subscription by existing shareholders (preemptive rights certificate holders), such forfeited shares will be allotted in proportion to the number of shares oversubscribed by existing shareholders (preemptive rights certificate holders) (oversubscription ratio: 0.2 shares per allotted new share), with fractional shares of less than one share not allotted (provided that if the oversubscribed quantity is less than the forfeited shares, 100% is allotted). (i) Subscription limit shares = preemptive rights certificate subscription limit shares + oversubscription limit shares (ii) Preemptive rights certificate subscription limit shares = the quantity of preemptive rights certificates held (iii) Oversubscription limit shares = preemptive rights certificate subscription limit shares x oversubscription ratio (20%) (3) General public offering subscription: (i) Forfeited shares and fractional shares arising from the above subscription by existing shareholders and oversubscription (the "general public offering allotment") will be offered to the public by the "Lead Manager" and the "Underwriter" as follows: pursuant to Article 9, Paragraph 2, Item 6 of the Regulation on Securities Underwriting Business, 10% of the general public offering shares will be allotted to high-risk high-return investment trusts, etc., and 30% to venture company investment trusts. The remaining 60% will be allotted without distinction to individual subscribers and institutional investors (including collective investment business entities). However, if any group's subscription falls short, the shortfall shares will be allotted to the group(s) whose subscription exceeded its allotment. (ii) If the total number of shares subscribed in the general public offering exceeds the number of shares offered, shares will be allotted pro rata according to the subscription competition ratio, rounding under the standard rounding method, to minimize residual shares. However, the subscription competition ratios and allotments for the 10% offered to high-risk high-return investment trusts, etc., the 30% offered to venture company investment trusts, and the 60% offered to individual and institutional investors will each be calculated and allotted separately. However, if any group's subscription falls short, the shortfall shares will be allotted to the group(s) whose subscription exceeded its allotment. Any final residual shares will then be allotted sequentially beginning with the highest subscriber; where subscribers at the same rank exceed the final residual shares, the "Lead Manager" and the "Underwriter" will allot them at their reasonable discretion. (iii) If the total number of shares subscribed in the general public offering is less than the number of shares offered, shares will be allotted as subscribed, and any resulting residual shares will be underwritten by the "Lead Manager" and the "Underwriter" according to their respective underwriting obligation ratios. (iv) However, pursuant to Article 9, Paragraph 2 of the Regulation on Securities Underwriting Business, where the shares to be allotted to high-risk high-return investment trusts, etc., venture company investment trusts, or general subscribers would be 50,000 shares or less (based on a par value of KRW 500) or the offering amount of the shares to be allotted would be KRW 100 million or less, the "Lead Manager" and the "Underwriter" may decline to allot such shares to subscribers and instead underwrite them for their own account according to their respective underwriting obligation ratios.
