This termination resulted from the counterparty The One Systems Co., Ltd.'s material breach of contract (including embezzlement by its management) and its resulting failure to pay and failure to perform the contract, notwithstanding that the Company had fully and normally performed all of its contractual obligations. 2. The Company determined that achieving the purpose of the contract had become impossible due to causes attributable to the counterparty and accordingly gave notice of termination; the Company bears no responsibility in connection with this termination. 3.
