Note 1) As this merger is a small-scale merger under Article 527-3 of the Commercial Act, appraisal (share purchase) rights are not recognized, and the shareholders' meeting for merger approval was replaced by board approval. Note 2) The closing report of this merger was, pursuant to Article 526, Paragraph 3 of the Commercial Act, replaced by a board resolution and an announcement on the Company's website.

II. Changes in the largest shareholder's equity, etc. - Monitorapp Co., Ltd. owns 100% of the shares of Soma Co., Ltd., and since this is a merger without capital increase at a merger ratio of 1:0 with no new merger shares issued, there is no change in the equity of the largest shareholder, etc. following this merger.

III. Exercise of appraisal rights - As this merger constitutes a small-scale merger under Article 527-3 of the Commercial Act, appraisal (share purchase) rights are not recognized pursuant to Article 527-3, Paragraph 5 of the same Act. - Pursuant to Article 527-3, Paragraph 4 of the Commercial Act, notices of opposition to the small-scale merger were received from June 2, 2026 to June 16, 2026; a total of 409 shareholders notified their opposition to the merger, and the total number of shares for which opposition was expressed was 210,116 shares, equal to 1.71% of total shares outstanding.

IV. Matters concerning creditor protection - The merging company, Monitorapp Co., Ltd., and the company to be absorbed, Soma Co., Ltd., each issued a creditor objection filing announcement on June 17, 2026, and no creditors filed objections during the creditor objection filing period (June 17, 2026 to July 17, 2026). In addition, no decision was made to repay any debt or provide substantial collateral in connection with this matter.

V. Status of related litigation - As of the filing date of this report, no litigation has been filed that could affect the validity of this merger.

VI. Matters concerning allotment of new shares, etc. - As Monitorapp Co., Ltd. owns 100% of the equity of Soma Co., Ltd. and this merger proceeds as a merger without capital increase at a merger ratio of 1:0 with no new merger shares issued, this item is not applicable.
