Whether subject to Fair Trade Commission reporting: Not applicable 13. Other matters material to investment decisions 1) This decision to resell the convertible bonds concerns the resale of the full KRW 4,000,000,000 face value of the "Series 33 unregistered unsecured private-placement convertible bonds" acquired early by the company before maturity on March 28, 2025 and June 27, 2025. 2) The above sale proceeds receipt (expected) date is the date on which the bonds are delivered to the buyer under the convertible bond sale and purchase agreement between the company and the buyer. 3) The conversion price as of the report date above has changed to reflect the dilutive effect of a small-amount public offering (third-party allotment) rights offering paid in on May 9, 2025. 4) Matters related to conversion price adjustment: within the scope permitted under applicable law, the conversion price may be adjusted after the issuance date of these bonds and before their conversion, for the reasons set out below. (a) If, before a bondholder requests conversion, the issuer issues shares through a rights offering, stock dividend, or capitalization of reserves, etc. at an issue price below market price, or issues convertible bonds or bonds with warrants at a conversion price or exercise price below market price, the conversion price shall be adjusted as follows. The adjustment date under this item shall be the date of issuance of the new shares arising from the rights offering, stock dividend, capitalization of reserves, etc., or the issuance date of the convertible bonds or bonds with warrants. Adjusted conversion price = pre-adjustment conversion price x [(A x C + B x D) / (A+B)]. A: shares already issued; B: newly issued shares; C: issue price per share; D: market price. Provided that, in the above formula, "shares already issued" means the total shares issued as of the day immediately before the relevant adjustment event occurs, and where convertible bonds or bonds with warrants are issued, "newly issued shares" means the number of shares to be issued if the relevant bonds were entirely converted at the conversion price, or if the entire warrants were exercised at the exercise price, at issuance of the relevant bonds. In addition, in the above formula, "issue price per share" shall be zero (0) in the case of a stock split, bonus issue or stock dividend, and shall be the conversion price or exercise price at issuance in the case of convertible bonds or bonds with warrants, and "market price" in the above formula means the reference share price or the ex-rights price used as the basis for determining the issue price. (b) Where adjustment of the conversion price is necessary due to a merger, capital reduction, stock split or consolidation, etc., the conversion price shall be adjusted so as to correspond to the value of the number of shares the bondholder would have held had the bonds been fully converted into shares immediately before the merger or capital reduction; or, in the case of a merger, capital reduction, stock split or consolidation, etc., the conversion price shall be adjusted taking into account the relevant ratio in each case. If the issuer fails to take such action and the bondholder thereby suffers loss, the issuer shall compensate for that loss. In addition, the issuer shall not carry out a merger, split or business transfer in a manner that adversely affects the bondholder's rights, and shall remain obligated to maintain the continued listing of its shares. (c) Where an event that increases share value occurs, such as a capital reduction or stock consolidation, the conversion price shall be adjusted upward by the adjustment ratio resulting from such capital reduction or stock consolidation, etc. Provided that, where the price calculated (excluding item 3) pursuant to the main text of Article 5-22, Paragraph 1 of the "Regulation on Issuance, Public Disclosure, etc. of Securities" as of the day immediately before the shareholders' meeting resolution date for such capital reduction or stock consolidation, etc. (the "calculated price") is below par value, and the conversion price was already adjusted to par value before that reference date (excluding cases where the conversion price may be adjusted below par value), the post-adjustment conversion price shall be adjusted to no less than the price obtained by adjusting the calculated price upward by the adjustment ratio arising from the capital reduction or stock consolidation, etc. (d) The conversion price shall be adjusted on the date falling every 7 months after the issuance of these bonds (each a "conversion price adjustment date"), using the day before each conversion price adjustment date as the reference date; if the higher of (i) the arithmetic average of the one-month volume-weighted average share price, the one-week volume-weighted average share price and the reference-date volume-weighted average share price, each calculated retroactively from the reference date, and (ii) the reference-date volume-weighted average share price, is lower than the conversion price in effect immediately before that adjustment date, such lower price shall become the new conversion price. Provided that the minimum adjustment limit for the conversion price shall be 70% of the original conversion price (provided that, if the conversion price has already been adjusted before the adjustment date due to a discounted issuance of new shares or a capital reduction, etc., this shall be calculated taking that into account). (e) Notwithstanding a downward adjustment of the convertible bond conversion price due to a decline in market price under item (d) above, if an event increasing share value occurs for other reasons, the conversion price shall be adjusted on the date falling every 7 months after the issuance date of these bonds (each a "conversion price adjustment date"), using the day before each conversion price adjustment date as the reference date; if the higher of the arithmetic average of the one-month volume-weighted average share price, the one-week volume-weighted average share price and the most-recent-day volume-weighted average share price, and the most-recent-day volume-weighted average share price, calculated retroactively from the reference date, is higher than the immediately preceding conversion price, the conversion price shall be adjusted upward to that higher price. Provided that, where the conversion price is adjusted upward, the post-adjustment conversion price shall not exceed the conversion price at issuance (or, where the conversion price has already been adjusted downward or upward before the adjustment date due to a discounted issuance of new shares or a capital reduction, etc., the price calculated taking that into account and reflecting the adjustments under items (a) through (c) above). (f) Where the conversion price adjusted under items (a) through (d) above is at or below the par value of the shares, the par value shall become the conversion price, and the aggregate issue price of the shares to be issued upon exercise of the conversion right granted to each convertible bond shall not exceed the issue price of each convertible bond. (g) Amounts below one won in the conversion price adjusted under this item shall be rounded up. 5) The early redemption request right (put option) of the convertible bonds is as follows. The bondholder of these bonds may request early redemption before maturity, for all or part of the amount obtained by multiplying the electronically registered amount for which early redemption is requested by the early redemption rate, on February 27, 2025 (the date one year after the issuance date of these bonds) and on each date falling every three months thereafter. However, if the early redemption payment date is not a bank business day, redemption shall be made on the following business day, and no interest shall accrue after the early redemption payment date. However, if the end date of the early redemption request period is not a business day, it is extended to the following business day. (e) Early redemption request procedure: the bondholder requests early redemption from the Korea Securities Depository through the relevant account management institution if these bonds are electronically registered in the bondholder's customer account, or directly from the Korea Securities Depository if electronically registered in the bondholder's own account at an account management institution; the Korea Securities Depository then consolidates such requests and submits the early redemption request to the request location. (f) If the issuer fails to pay the redemption amount on the early redemption payment date arising from the exercise of this early redemption request right, the issuer shall pay default interest of 11% per annum on the relevant principal and interest.
