5. Other matters for investment reference Note: The per-share issue price in this notice is the round-1 issue price; the final issue price will be announced on 2026-09-08 according to the formula below. Pursuant to Article 5-18 of the Regulation on Issuance and Disclosure of Securities, the pricing procedure for shareholder-allotment capital increases has been abolished and pricing has been liberalized, so the issue price may be freely determined; however, out of concern for market disruption and in line with existing practice, the company calculates the price as follows by partially applying, by analogy, Article 57 of the former Regulation on Issuance and Disclosure of Securities.
(1) Round-1 issue price: Using the third trading day before the new-share allotment record date as the base date, the reference price is the lower of (i) the arithmetic mean of the one-month weighted average price, one-week weighted average price, and the most recent-day closing price (each weighted by trading value/volume on the KOSDAQ market), and (ii) the most recent-day closing price; a 25% discount rate is applied under the formula below to determine the round-1 issue price. Amounts below the quotation unit are rounded up to the nearest quotation unit, and if the resulting price is below par value, the par value is used as the issue price. Round-1 issue price = [Reference price x (1 - discount rate)] / [1 + (rights-offering ratio x discount rate)]
(2) Round-2 issue price: Using the third trading day before the existing shareholders' subscription date as the base date, the reference price is the lower of (i) the arithmetic mean of the one-week weighted average price (weighted by trading value/volume on the KOSDAQ market) and the most recent-day closing price, and (ii) the most recent-day closing price; a 25% discount rate is applied under the formula below to determine the round-2 issue price. Amounts below the quotation unit are rounded up to the nearest quotation unit, and if the resulting price is below par value, the par value is used as the issue price. Round-2 issue price = Reference price x (1 - discount rate)
(3) Final issue price: The final issue price is the lower of the round-1 and round-2 issue prices. However, pursuant to Article 165-6 of the Capital Markets Act and Article 5-15-2 of the Regulation on Issuance and Disclosure of Securities, if the lower of the round-1 and round-2 issue prices is lower than the price calculated by applying a 40% discount rate to the weighted average price from the third to the fifth trading day before the existing shareholders' subscription date, the final issue price is set as the price calculated by applying a 40% discount rate to that weighted average price. Amounts below the quotation unit are rounded up to the nearest quotation unit, and if the resulting price is below par value, the par value is used as the issue price. (4) The final issue price will be determined on the third trading day before the first day of the existing shareholders' subscription period and disclosed on the Financial Supervisory Service's electronic disclosure system; it will be announced on the company's website (http://www.immuneoncia.com) in lieu of individual notice.
