Merger Decision

1. Merger method: RFtech Co., Ltd. will absorb Eco Volt Co., Ltd. by merger. Surviving company: RFtech Co., Ltd. Dissolving company: Eco Volt Co., Ltd. Trade name after the merger: RFtech Co., Ltd. Merger form: Not applicable.

2. Purpose of the merger: to maximize shareholder value by moving away from the low-margin, low-growth automotive-lighting business through a merger with a higher-growth company. RFtech, the surviving company, had been planning to strengthen its 5G technology capability and expand into the communications business to secure future growth drivers. Through this merger, the Company expects to realize a shift to a higher-value-added business structure, strengthening competitiveness and increasing corporate and shareholder value.

3. Material effects of the merger 1) Effect on management: RFtech (surviving) will absorb Eco Volt (dissolving). As of the securities registration statement date, RFtech's largest shareholder is Osung Advanced Materials Co., Ltd. with 30.46% (39.95% combined with related parties); Eco Volt's largest shareholder is also Osung Advanced Materials Co., Ltd. with 29.89% (29.94% combined with related parties). After the merger, RFtech's largest-shareholder stake is expected to change from 30.46% to 30.29%, with no change of largest shareholder; the combined stake of the largest shareholder and related parties is expected to become 36.82%. 2) Effect on finances and operations: RFtech (IT mobile components and telecom equipment) will merge with Eco Volt (automotive lighting modules and components) to cut costs through integrated restructuring and improve management efficiency through a unified business entity. Eco Volt plans to sell its subsidiary SF INNOTEK VINA CO., LTD. to remove business risk and combine human and technical resources, and to unify administrative organizations to improve overall profitability. Domestic sites are being consolidated: RFtech's Yongin plant equipment and personnel are being relocated to RFtech's own Asan branch, independently of the merger, to enable rapid integration and stabilize operations ahead of the Eco Volt merger (further detail under Item 17). The Company expects the combined R&D resources and financial capacity to be used to expand investment in next-generation (5G Advanced/6G) communication technology, RF modules for wireless infrastructure handling the network-traffic growth driven by AI services, increasing R&D headcount and cost in the near term but contributing positively to revenue growth and profitability by entering a higher-value-added business over the medium to long term.

4. Merger ratio: RFtech Co., Ltd. : Eco Volt Co., Ltd. = 1 : 0.2027268.

5. Basis for calculating the merger ratio: as both companies are KOSDAQ-listed, the base share price for common shares was calculated under Article 176-5, Paragraph 1, Item 1 of the Enforcement Decree of the Financial Investment Services and Capital Markets Act, and the final merger value was then determined by reflecting RFtech's par-value consolidation (par value KRW 500 to KRW 2,500) and Eco Volt's stock split (par value KRW 1,000 to KRW 500) and free capital reduction (reduction ratio: 80.0%). (a) RFtech common share merger value: base date April 12, 2026. 1-month weighted average closing price: KRW 1,819; 1-week weighted average closing price: KRW 1,892; most recent closing price: KRW 2,010; base share price: KRW 1,907; base price after reflecting the par-value consolidation and used as the merger value: KRW 9,535. No premium or discount was applied. (b) Eco Volt common share merger value: same base date. 1-month weighted average closing price: KRW 788; 1-week weighted average closing price: KRW 766; most recent closing price: KRW 766; base share price: KRW 773; price after reflecting the stock split: KRW 386.5; price after reflecting the free capital reduction: KRW 1,932.5, used as the merger value rounded to KRW 1,933. No premium or discount was applied. Resulting merger ratio: 1 : 0.2027268 (RFtech : Eco Volt).

6. External appraisal: Not required, because the merger value was calculated and the merger ratio derived under Article 165-4 of the Financial Investment Services and Capital Markets Act and Article 176-5, Paragraph 1, Item 1 of its Enforcement Decree for a merger between two listed companies.

Source: Korea Exchange (http://www.krx.co.kr). For RFtech's appraisal price calculation, see RFtech's own material event report. (h) If the AGM rejects the merger, appraisal rights lapse and the merger agreement does not take effect. (i) A shareholder cannot withdraw an appraisal-rights demand after the end of the exercise period. (j) The Company's board resolved on February 2, 2026 a paid-in capital reduction with a record date of April 20, 2026, reducing shares issued from 63,415,904 to 50,732,723 (trading halt April 17 to May 6, 2026); a stock split (one KRW 1,000-par common share into two KRW 500-par common shares), increasing shares issued from 50,732,723 to 101,465,446 (trading halt May 12 to June 15, 2026); and a free capital reduction with a record date of May 26, 2026, consolidating five KRW 500-par common shares into one, reducing shares issued from 101,465,446 to 20,293,089 (trading halt May 12 to June 15, 2026). (k) Termination conditions in the merger agreement: Article 12 (Conditions Precedent), each party's obligation to merge is conditioned on due board/shareholder approvals and satisfaction of required legal requirements, material performance of each party's covenants, and the absence of any material adverse change in either party's assets, operating results, business condition or prospects between signing and the merger date. Article 13 (Effectiveness and Termination), the agreement takes effect on signing; either party may amend the merger terms or terminate immediately on written notice before the merger date (but not after) if: the parties agree in writing to terminate; either party fails to obtain shareholder approval; a material adverse change occurs due to force majeure or other cause; a condition precedent under Article 12 is not satisfied by the merger date; or the combined appraisal-rights purchase amount for RFtech and Eco Volt exceeds KRW 15,000,000,000 as of the end of the exercise period. Upon termination, each party must return or destroy the other's provided data/information within 14 days, without prejudice to damages claims for breach; specified surviving provisions remain in effect. (l) Decision-making process and fairness measures: following the Ministry of Justice's February 26, 2026 "Guidelines on Directors' Conduct in Corporate Reorganizations" (addressing directors' duty of loyalty under the amended Article 382-3 of the Commercial Act), each company's board, at meetings held April 8 and April 13, 2026, considered but declined to establish an independent special committee or retain outside legal/financial advisers, concluding unanimously (with no dissenting votes) that doing so was unnecessary given: the merger ratio is fixed by statutory formula under the Financial Investment Services and Capital Markets Act rather than negotiated; the urgency of completing the merger before Eco Volt's deteriorating revenue and loss trend worsened further; and the shared judgment that combining RFtech's communications-technology capability with Eco Volt's cash liquidity benefits all shareholders of both companies without materially disadvantaging minority shareholders. RFtech's board for this matter comprised Representative Director Jo Kyung-sook, in-house director Kim Du-in, and outside director Choi Yeong-cheol (a certified accountant); Representative Director Jo Kyung-sook was recused from voting on this item under Article 398 of the Commercial Act (self-dealing by a director) given her concurrent directorships at affiliated companies including Eco Volt. Each company instead plans to provide information and gather general-shareholder feedback through its website and investor-relations team, introduce electronic voting at the merger AGM, and send shareholder letters and a merger information notice to shareholders of record as of June 30, 2026, while honoring shareholders' statutory appraisal rights as described above. (m) Post-hoc special committees and external experts: although each board initially decided on April 8, 2026 not to form a special committee or retain outside advisers (given the statutory, non-negotiated basis for the merger ratio and the urgency described above), each board subsequently resolved on May 28, 2026 to establish a special committee retroactively, to strengthen procedural fairness. RFtech's special committee comprised outside director Choi Yeong-cheol (b.1976.06, certified accountant, chair), accountant Lee Ki-ho (b.1968.02.06; career 1992-2018, 2002-present), accountant Lee Yu-ri (b.1985.01.10; career 2011-2014, 2015-present) and attorney Kim Bong-jun (b.1974.06.26; career 2008-present, FSS advisory 2022), and met three times (May 29, June 11 and June 18, 2026), reporting its findings to RFtech's board on June 24, 2026. Eco Volt's special committee comprised outside director Oh Chang-jin (b.1960.06, chair), attorney Jo Jang-gon (b.1976.12; career 2018-2023, 2021-present), professor Kim Ji-eung (b.1983.01; career 2020-2022, 2022-2024, 2024-present) and accountant Yoon Gi-eob (b.1987.01; career 2014-2023, 2023-present). Both committees found all members independent and collectively qualified in law, accounting/finance, industry analysis and minority-shareholder protection. RFtech retained Yichon Accounting Corporation (financial) and Shin & Kim (legal) as independent external experts; Eco Volt retained Jeongdong Accounting Corporation (financial) and Baker McKenzie and KL Partners (legal). Yichon's essential-value review assessed per-share value at KRW 4,922-5,692 for RFtech (asset value KRW 5,082; income value KRW 4,815-6,098) and KRW 2,223-2,313 for Eco Volt (asset value KRW 2,843; income value KRW 1,810-1,959), implying a ratio range of 1:0.3906541 to 1:0.4699142; Jeongdong's review assessed KRW 4,626-5,423 for RFtech (income value KRW 4,322-5,650) and KRW 2,168-2,263 for Eco Volt (income value KRW 1,718-1,876), implying a range of 1:0.4002849 to 1:0.4892949. Both ranges bracket the capital-markets-law ratio of 1:0.4053487 (the pre-share-consolidation/split equivalent of the final 1:0.2027268 ratio), so each committee and expert concluded the ratio was appropriate; both committees also considered and rejected external financing, a business transfer, and a share-exchange/transfer structure as less effective alternatives. The companies' advisers also noted that, as a sensitivity check, recalculating the merger using the closing price and resulting merger value as of each of 2026-04-13 (RFtech KRW 2,010, merger value KRW 9,535; Eco Volt KRW 766, merger value KRW 1,933), 2026-04-14 (RFtech KRW 2,610, merger value KRW 12,105; Eco Volt KRW 764, merger value KRW 1,930) and 2026-04-15 (RFtech KRW 2,545, merger value KRW 12,280; Eco Volt KRW 827, merger value KRW 2,040) would have produced merger ratios of 0.202726796, 0.159438249 and 0.16612378 and new merger-share counts of 4,111,636, 3,233,673 and 3,369,266 respectively, allotting largest shareholder Osung Advanced Materials Co., Ltd. 1,229,612, 967,051 and 1,007,601 shares and leaving it with a 30.29%, 30.31% and 30.31% post-merger stake, underscoring that the ratio was not especially sensitive to the valuation date chosen.

Supplementary figures (as stated in the filing): Jeongdong's own review-opinion narrative elsewhere restates Eco Volt's essential value as KRW 2,171-2,264 per share (income value KRW 1,722-1,877), about KRW 3 higher at each end than the KRW 2,168-2,263 (income value KRW 1,718-1,876) shown in its summary table above, kept here as a discrepancy in the source rather than reconciled. That narrative also states the discount-rate inputs behind Jeongdong's DCF-based income values: a cost of equity built from a market risk premium and a 4.0% size premium (the level the Korean Institute of Certified Public Accountants recommends for micro-cap companies), a pre-tax cost of debt of 9.8% for RFtech (based on BBB- 5-year unsecured corporate-bond yields) and 8.5% for Eco Volt (based on BBB0 5-year unsecured corporate-bond yields), resulting in a WACC of 11.49% for RFtech and 11.70% for Eco Volt, with a 1.0% perpetual growth rate applied to both; it also cites the Ministry of Justice's corporate-reorganization guideline with a publication date of "(2025.12)" at this point in the filing, versus "February 26, 2026" cited elsewhere in the same filing (as stated in the filing). Separately, the Ericsson Mobility Report figures cited in the filing's AI/communications-market discussion project that 5G's share of mobile data traffic will rise from 34% at the end of 2024 to 43% at the end of 2025 and to 83% by 2031. In addressing a question about whether a separate fairness opinion was required, management noted that because the merger ratio of listed companies is fixed by formula under (what the filing cites as) "Article 1765-5" of the Capital Markets Act (as stated in the filing), Korean case law holds that a merger ratio calculated on that statutory market-price basis is not void for unfairness absent special circumstances (citing Supreme Court rulings of 2008.1.10 (2007Da64136) and 2009.4.23 (2005Da22701, 2005Da22718), and, among lower-court rulings on the standard for recalculating a listed-company merger ratio, the Seoul Central District Court's 2015.7.1 ruling (2015Kahap80582) and 2017.10.19 ruling (2016Gahap510827) concerning the Samsung C&T/Cheil Industries merger, as well as a Supreme Court business-judgment-rule ruling of 2017.9.12 (2015Da70044)). ※ For further details, please refer to the companies' securities registration statement to be filed later. ※ Related disclosure: - (condensed translation)
