12. Other matters material to investment decisions - The designation consideration (transfer amount) in "8." above is not refunded regardless of whether the buyer exercises the call option (right to demand sale) on the convertible bonds.
[Matters relating to the call option (CALL OPTION)] (a) Method of exercising the call option: A buyer wishing to exercise the call option must, from 60 days to 30 days before the purchase-price payment date in (b) below, notify the bondholder in writing of the quantity of bonds to be purchased, the payment date and the purchase price; the resulting sale-and-purchase contract is deemed concluded when the buyer's notice reaches the bondholder. If the end of the exercise period is not a business day, it is extended to the next business day. (b) Purchase price: the purchase price is the call-option exercise amount multiplied by the call-option redemption rate below, computed using a quarterly-compounded annual rate of 1.0%. If the payment date is not a banking business day, payment is made the next business day with no additional interest after that date; interest accrues daily on a 365-day-year basis. Exercise period 1: 2026-03-27 to 2026-04-26; payment date 2026-05-26; redemption rate 100.4946% of the electronically registered amount Exercise period 2: 2026-06-27 to 2026-07-27; payment date 2026-08-26; redemption rate 100.7470% of the electronically registered amount Exercise period 3: 2026-09-27 to 2026-10-27; payment date 2026-11-26; redemption rate 101.0000% of the electronically registered amount Exercise period 4: 2026-12-28 to 2027-01-27; payment date 2027-02-26; redemption rate 101.2536% of the electronically registered amount (c) Payment and delivery: the buyer pays the purchase price to the bondholder on the payment date in the manner the bondholder specifies; the bondholder, on receiving payment, delivers the bonds to the buyer by electronic registration under the Act on Electronic Registration of Stocks, Bonds, etc. If the payment date is not a business day, payment is made the next business day with no additional interest after the original date. A buyer who fails to pay on the payment date owes default interest from the day after that date to actual payment, per Article 4(13) of the underlying agreement. (1) Scope of exercise: the buyer may not exercise the call option against any bondholder for more than 30% of that bondholder's face amount at issuance. The issuer's largest shareholder and related parties may not, through call-option exercise, acquire shares exceeding their respective ownership percentages as of the bond's issuance date; the same cap applies if the issuer resells call-option bonds to the largest shareholder or related parties. (2) Bondholder's mandatory retention: to secure the issuer's call option, each bondholder must keep 30% of its issuance-date underwriting amount unexercised until the end of the exercise period in (b), except where the issuer has lost the benefit of time under Article 4.24 of the agreement. (3) Preserving the call option on transfer: notwithstanding the agreement's restrictions on resale, splitting and consolidation of the bonds, a bondholder transferring these bonds may do so only in a way that preserves the transferee's exposure to the call option and mandatory-retention obligation; a transfer violating this is void, and once validly transferred the original bondholder's obligations (including honoring the buyer's call option) are extinguished to the extent transferred.
