Conversion price adjustment: (a) If, before a conversion request is made, the issuer issues shares through a rights offering, bonus issue, stock dividend, or capitalization of reserves at an issue price below market price, or issues convertible bonds or bonds with warrants at a conversion price or exercise price below market price, the conversion price will be adjusted as set out below. The adjustment date is the date of issuance of the new shares (for a rights offering, stock dividend, or capitalization of reserves) or the date of issuance of the convertible bonds or bonds with warrants. However, where a rights offering and a bonus issue are carried out simultaneously and the per-share issue price exceeds market price, the number of new shares issued through the rights offering is not applied to the conversion-price adjustment, and only the number of shares issued through the bonus issue is applied. Adjusted conversion price = Pre-adjustment conversion price multiplied by [(previously issued shares times per-share issue price, plus newly issued shares times market price), divided by (previously issued shares plus newly issued shares)]. In this formula, "previously issued shares" means the total issued shares as of the day immediately before the relevant adjustment event occurs, and, in the case of issuing convertible bonds or bonds with warrants, "newly issued shares" means the number of shares that would be issued if the bonds were fully converted at the conversion price, or if the warrants were fully exercised at the exercise price, applicable at the time such bonds are issued. "Per-share issue price" is zero (0) in the case of a bonus issue, stock dividend, or capitalization of reserves, and, in the case of issuing convertible bonds or bonds with warrants, is the conversion price or exercise price applicable at the time such bonds are issued; "market price" means the reference price or ex-rights price used as the basis for calculating the issue price, conversion price, or exercise price (for the issuance of convertible bonds, bonds with warrants, or other equity-linked bonds other than a rights offering, the reference price calculated pursuant to Article 5-22, Paragraph 1 of the Regulation on Issuance and Disclosure of Securities, etc., as of the day before the adjustment event occurs). (b) Where a conversion-price adjustment is required due to a merger, division, division-merger, capital reduction, stock split, or consolidation, the conversion price will be adjusted so as to correspond to the value of the number of shares the convertible bondholder would have held if the conversion right had been exercised and the bonds fully converted into shares immediately before the relevant event. If a bondholder suffers damage because the issuer fails to take such action, the issuer must compensate for that damage. In addition, the issuer must not carry out a merger, division, or business transfer in a manner that adversely affects the rights of convertible bondholders, and bears an obligation to maintain the continued listing of its shares. The adjustment date under this item is the record date for the merger, division, division-merger, capital reduction, stock split or consolidation, etc., or the effective date of the other relevant event. (c) Where an event increasing share value occurs, such as a capital reduction or share consolidation, the conversion price will be adjusted upward by the adjustment ratio resulting from the capital reduction or share consolidation, etc. However, if the value (the "calculated value") determined under the main text of Article 5-22, Paragraph 1 of the Regulation on Issuance and Disclosure of Securities, etc. (excluding item 3), calculated as of the day before the shareholders' meeting resolution date for the capital reduction or share consolidation, etc., is below par value, and the conversion price has already been adjusted to par value before that date (excluding cases where the conversion price may be adjusted below par value), the adjusted conversion price will be adjusted to no less than the value obtained by adjusting the calculated value upward by the adjustment ratio resulting from the capital reduction or share consolidation, etc. The adjustment date under this item is the record date for the capital reduction or stock split, etc., or the effective date of the other relevant event. (d) Separately from items (a) through (c) above, the conversion price will also be adjusted on each date that is a multiple of 7 months from the issuance date of these bonds (each a "conversion price adjustment date"), based on whichever is higher of (i) the arithmetic mean of the one-month weighted average price, one-week weighted average price, and most-recent-day weighted average price, each calculated retroactively from the day before each conversion price adjustment date, and (ii) the most-recent-day weighted average price; if that higher price is lower than the conversion price in effect on the day immediately before the relevant adjustment date, that lower price becomes the new conversion price. However, the new conversion price must be at least 70% of the initial conversion price at issuance (adjusted, if applicable, to reflect any prior adjustment of the conversion price due to a discounted new-share issuance, etc. before the adjustment date). (e) Separately from item (d) above, if, notwithstanding a downward adjustment of the conversion price due to a decline in market price, an event increasing share value nevertheless occurs for other reasons, then on each date that is a multiple of 7 months from the issuance date of these bonds (each a conversion price adjustment date), if whichever is higher of (i) the arithmetic mean of the one-month weighted average price, one-week weighted average price, and most-recent-day weighted average price, each calculated retroactively from the day before each conversion price adjustment date, and (ii) the most-recent-day weighted average price, is higher than the immediately preceding conversion price, that higher price will become the new conversion price, adjusted upward. However, when the conversion price is adjusted upward, the adjusted conversion price must not exceed the initial conversion price at issuance (adjusted, if applicable, to reflect any prior upward or downward adjustment of the conversion price due to a discounted new-share issuance or capital reduction, etc. before the adjustment date). (f) If a conversion price adjusted under items (a) through (e) above is at or below the par value of the shares, the par value will become the conversion price, and the aggregate issue price of shares to be issued upon conversion of each convertible bond must not exceed the issue price of that convertible bond. (g) Under this item, any adjusted conversion price with a fraction below one KRW is rounded up.
Downward adjustment of the conversion price due to a decline in market price: Minimum adjusted price (KRW) 1,900; Basis for the minimum adjusted price: Article 5-23 (Downward Adjustment of the Conversion Price) of the Regulation on Issuance and Disclosure of Securities, etc. When the conversion price is adjusted downward due to a decline in market price, the adjusted conversion price must be no less than 70% of the conversion price at issuance (adjusted, if applicable, to reflect any prior upward or downward adjustment of the conversion price due to a discounted new-share issuance or capital reduction, etc. before the adjustment date). Remaining issuance limit eligible for adjustment below 70% of the conversion price at issuance (KRW): Not applicable
