(2) The rights offering proceeds and the beneficiary certificates held by the target company are restricted to use for payment of liabilities related to the Thai legal proceedings (deposited into a 1st-priority pledge account in the seller's name under the target company's name), and the target company will provide a joint guarantee for this amount.

15. Other important matters relevant to investment decisions (1) The closing purchase price was negotiated between the parties based on a share value of KRW 68.5 billion as of the prior fiscal year-end, excluding the Thailand litigation net liabilities (after offsetting the beneficiary certificates), from which the Thailand litigation net liabilities were deducted to arrive at KRW 5.2 billion. Reflecting price adjustments arising up to the closing date under this agreement, the final closing purchase price was finalized at KRW 3.35 billion. Breakdown (KRW 100 million): Business value: 550 (present value of estimated future cash flows excluding Thai liabilities); (+) Cash and short-term financial instruments: 135 (cash and cash equivalents and short-term financial instruments held as of end-2025); (-) Borrowings, etc.: -; Share value: 685 (share value excluding Thai liabilities); (-) Thai litigation liabilities: 833 (confirmed and unconfirmed liabilities); (+) Beneficiary certificates: 200 (fair value, applied in full against Thai liabilities); Closing purchase price: 52 (buyer's KRW 63.3 billion rights-offering subscription to repay the Thai litigation liabilities); (-) Price adjustment: 18.5 (price adjustment agreed between the parties); Final closing purchase price: 33.5 (purchase price at closing, total amount received by the seller) (2) Because the Thai litigation liabilities remain unconfirmed as of the closing date, the purchase price will be finally settled, including related costs (litigation costs, advisory fees, etc.), once the litigation outcome is confirmed after closing. Under this settlement structure, the potential risk related to the Thai litigation liabilities is not transferred to the buyer. (3) The beneficiary certificates were purchased by the seller at fair value (KRW 20 billion) at closing, and the corresponding purchase price was deposited into a pledge account to be applied toward repayment of the Thai liabilities. (4) The closing date was changed by agreement between the parties to August 28, 2026. (5) The number of new shares and the issue price for the target company's rights offering are 126,600 shares and KRW 500,000 per share, respectively. In addition, immediately after the closing of this transaction, on that same date, the buyer participated in a separate rights offering of approximately KRW 2.9 billion (KRW 2,866,000,000) in the target company and acquired 5,732 shares. This is unrelated to the purchase price of this transaction and is a capital contribution for the target company's working-capital purposes; it is not deposited into the pledge account. As a result of this rights offering, the target company's total shares issued increased from 412,428 shares to 544,760 shares. (6) The target company's total shares issued is as of the execution date of this agreement, and the financial information is based on the consolidated financial statements as of the prior fiscal year-end (the target company's figures are on a standalone basis).
