Decision on Company Spin-off

1. Spin-off method (1) The target business will be spun off through a simple physical (split-off) spin-off to establish a newly incorporated spin-off company; after the spin-off, the splitting company will continue as a listed company, and the newly incorporated spin-off company will be an unlisted company. (i) Splitting company (surviving company) - Company name: Hyundai Mobis Co., Ltd. - Business division: all business divisions except the division subject to the spin-off. (ii) Newly incorporated spin-off company - Company name: Hyundai Mobis Lamp Co., Ltd. (tentative name) - Business division: the business division subject to the spin-off (automotive lamp business division). (2) The spin-off effective date is scheduled for 00:00 on April 1, 2027. However, the spin-off effective date may be changed by resolution of the splitting company's board of directors, or by decision of the CEO under delegated authority from the board. (3) The splitting company will carry out the spin-off through a special resolution of the shareholders' meeting pursuant to Article 530-3, Paragraphs 1 and 2 of the Commercial Act. Pursuant to Article 530-9, Paragraph 2 of the same Act, the newly incorporated spin-off company will bear only the obligations (including liabilities; the same applies hereafter in this paragraph) transferred to it from among the splitting company's pre-spin-off obligations, and will not bear joint liability for obligations not transferred to it. Likewise, the surviving splitting company will bear only the obligations not transferred to the newly incorporated spin-off company, and will not bear joint liability for obligations transferred to the newly incorporated spin-off company. Pursuant to Articles 530-9 and 527-5 of the Commercial Act, the splitting company will publish a notice inviting creditors to submit objections and will separately notify known creditors, with an objection period of at least one month, to ensure full creditor protection under the relevant provisions. (4) Property transferred due to the spin-off shall follow the provisions of Article 5 (Matters Concerning the Newly Incorporated Spin-off Company), Paragraph (7) (property of the splitting company to be transferred to the newly incorporated spin-off company and its value) and Paragraph (8) (matters concerning cases where the newly incorporated spin-off company bears only the obligations designated in the spin-off plan to be assumed) of the spin-off plan; where it is unclear under these provisions whether certain property is subject to the spin-off, this shall be determined pursuant to Paragraphs (5) through (10) of the "Method of Spin-off" section of the spin-off plan. (5) Unless otherwise specified in the spin-off plan, all active and passive property belonging to the splitting company, and other rights, obligations and factual relationships of economic value (including public-law rights and obligations, and including permits/licenses, employment relationships, contractual relationships, litigation, etc.) shall, in principle, belong to the newly incorporated spin-off company if they are (i) reasonably necessary for the newly incorporated spin-off company to carry on the spun-off business division on a stand-alone basis from the spin-off effective date at substantially the same or similar level as before the spin-off, or (ii) exclusively or primarily related to the spun-off business division; otherwise they shall belong to the surviving splitting company. (6) The method for determining the assets, liabilities and capital of the newly incorporated spin-off company shall, in principle, allocate to the newly incorporated spin-off company all assets, contracts, rights, liabilities and obligations related to the splitting company's spun-off business division, and allocate to the surviving splitting company those not belonging to the spun-off business division; the asset, liability and capital amounts of each company shall be determined by comprehensively considering the future operating and investment plans of each company and applicable legal requirements. (7) With respect to the splitting company's business, obligations that arise or become fixed after the spin-off effective date due to acts or facts occurring before the spin-off effective date, or obligations that had already arisen or become fixed before the spin-off effective date but were not reflected in the spin-off plan due to lack of awareness or other circumstances (provided that, regardless of the relevant business division, the splitting company's obligations or liabilities related to violations or non-performance of laws or contracts before the spin-off effective date, and public- or private-law contingent liabilities including but not limited to litigation, fines, administrative penalties, criminal fines, tax assessments, additional tax, and surcharges, shall in all cases be deemed excluded obligations not subject to transfer) shall belong to the newly incorporated spin-off company if the underlying act or fact is exclusively or primarily related to the spun-off business division, and otherwise shall belong to the surviving splitting company. (8) The preceding paragraph shall apply mutatis mutandis to the attribution of claims or other rights (including public- or private-law contingent claims and any other claims) acquired after the spin-off effective date due to acts or facts occurring before the spin-off effective date, or claims or rights already acquired before the spin-off effective date but not reflected in the spin-off plan due to lack of awareness or other circumstances. (9) Notwithstanding the principles of allocation and attribution of obligations under the spin-off plan, if for any reason the surviving splitting company repays an obligation succeeded to by the newly incorporated spin-off company or otherwise obtains joint discharge through an outlay, the surviving splitting company may exercise a right of indemnity against the newly incorporated spin-off company, and vice versa. (10) Among the pre-spin-off rights and obligations, any right or obligation that should be transferred to the newly incorporated spin-off company but whose transfer is prohibited by the spin-off under law or by its nature shall remain with the surviving splitting company; the surviving splitting company shall use its best efforts to ensure such transfer can occur even after completion of the spin-off, taking all necessary measures so that the same legal and economic effects as if the transfer had occurred arise between the companies.

2. Purpose of the spin-off (1) Through this spin-off, the newly incorporated spin-off company and the surviving splitting company will each establish and operate management strategies suited to the characteristics of their respective businesses, enhancing business specialization and strengthening external competitiveness. The surviving splitting company will identify and invest in new growth drivers and new businesses with high synergy with its existing business to respond swiftly to changes in market conditions, while enabling the newly incorporated spin-off company to concentrate investment on its core business, ultimately enhancing corporate and shareholder value. (2) The newly incorporated spin-off company will seek to enhance global competitiveness and pursue sustained growth in the spun-off business division, while the surviving splitting company will review various measures to strengthen its core competitiveness and enhance corporate value.

3. Material effects and impact of the spin-off This spin-off will be carried out as a simple physical (split-off) spin-off pursuant to Articles 530-2 through 530-12 of the Commercial Act. Accordingly, there will be no change in the number of shares held or the equity ratio of the splitting company's largest shareholder before and after this spin-off.

4. Spin-off ratio Since this is a simple physical spin-off in which the splitting company is allotted 100% of the shares issued by the newly incorporated spin-off company, a spin-off ratio is not calculated.

5. Details of business and property to be transferred by the spin-off (1) In principle, the splitting company will transfer to the newly incorporated spin-off company all active and passive property, and other rights, obligations and factual relationships of economic value (including permits/licenses, employment relationships, contractual relationships, litigation, etc.; the "property to be transferred") belonging to the spun-off business division, as provided in the spin-off plan. However, rights or obligations belonging to the spun-off business division whose transfer is prohibited by law or by their nature shall remain with the surviving splitting company, and where transfer to the newly incorporated spin-off company is necessary, the surviving splitting company will use its best efforts to ensure such transfer occurs even after the spin-off is completed. (2) The list and value of the property to be transferred shall, in principle, be as stated in Attachment 1 (Spin-off Statement of Financial Position) and Attachment 2 (List of Property to be Succeeded) of the spin-off plan, prepared based on the splitting company's statement of financial position and property list as of December 31, 2025; however, if changes in assets or liabilities occur before the spin-off effective date, or if assets or liabilities omitted or incorrectly stated are discovered, or if their value otherwise changes, these may be corrected or added. (3) The final value of each item of the assets and liabilities to be transferred shall be finally confirmed based on an appraisal by a reputable appraisal corporation or review by a certified public accountant. (4) Patents, utility models, trademarks, designs and other intellectual property rights held by the splitting company domestically or abroad before the spin-off effective date shall belong to the newly incorporated spin-off company if exclusively or primarily related to the spun-off business division, and otherwise to the surviving splitting company. The intellectual property rights belonging to the newly incorporated spin-off company are listed in Attachment 3 (List of Intellectual Property Rights to be Succeeded) of the spin-off plan. (5) Among litigation to which the splitting company is a party before the spin-off, litigation belonging to the newly incorporated spin-off company is listed in Attachment 4 (List of Litigation to be Succeeded); real estate belonging to the newly incorporated spin-off company is listed in Attachment 5 (List of Real Estate to be Succeeded); and investment securities belonging to the newly incorporated spin-off company are listed in Attachment 6 (List of Investment Securities to be Succeeded). (6) Permits, licenses, registrations, filings, etc. to which the splitting company is a party before the spin-off effective date shall belong to the newly incorporated spin-off company if exclusively or primarily related to the spun-off business division, or necessary for carrying on the spun-off business division on a stand-alone basis, and otherwise to the surviving splitting company. Those belonging to the newly incorporated spin-off company are listed in Attachment 7 (List of Permits and Licenses to be Succeeded). (7) Contractual relationships arising from the spun-off business division (including those related to the property to be transferred), and mortgages, pledges, etc. established to secure the rights and obligations thereunder, shall belong to the newly incorporated spin-off company. However, (i) where a contract to which the splitting company is a party relates to both the spun-off business division and other business divisions and cannot be separated, it shall remain with the surviving splitting company, and (ii) where relevant laws or procedures make it impossible for the newly incorporated spin-off company to succeed to the contractual status of a party, the surviving splitting company shall continue to perform the contract while the economic effects accrue to the newly incorporated spin-off company through mutual settlement. (8) For assets among the property to be transferred that are commonly related to or used by other business divisions of the splitting company, such assets shall be deemed property to be transferred only to the extent primarily used by the spun-off business division. The splitting company shall transfer the relevant portion to the newly incorporated spin-off company and take separation measures for the remaining portion so that the surviving splitting company may continue to use it for its other business divisions without adversely affecting the spun-off business (temporary and incidental effects naturally accompanying such separation are not considered adverse). Where certain property cannot be transferred due to legal reasons or third-party contracts, the surviving splitting company and the newly incorporated spin-off company shall determine the scope and period of use, cost-sharing, and other conditions through a separate service agreement or mutual agreement (for clarity, costs such as software usage fees that the newly incorporated spin-off company would otherwise have borne shall be borne by the newly incorporated spin-off company). The surviving splitting company shall otherwise provide necessary cooperation, including entering into related contracts, so that upon its establishment the newly incorporated spin-off company can carry on business as the spun-off business division did before the spin-off.

(For details of the share purchase agreement, see "(9) Matters Concerning the Share Purchase Agreement" under "16. Other Matters Material to Investment Decisions" below.) Accordingly, among the splitting company's domestic subsidiaries, the equity interest in the subsidiary engaged in automotive lamp manufacturing, which belongs to the spun-off business division, is expected to be transferred to the newly incorporated spin-off company. The automotive lamp business conducted by the splitting company's overseas subsidiaries (including the portion conducted by newly established companies formed through procedures equivalent to a spin-off under local laws) is not included in this spin-off; the surviving splitting company will continue to hold such equity interests and sell them separately to the Buyer apart from this spin-off.
