If the issuing company fails to take such measures and the bondholder suffers damages as a result, the issuing company shall compensate for such damages. The adjustment date for the conversion price under this item shall be the record date for the capital reduction, share split, etc., or the effective date of the other event. (b) If an event increasing share value arises, such as a capital reduction or share consolidation, the conversion price shall be adjusted upward by the adjustment ratio resulting from the capital reduction, share consolidation, etc. However, if the price calculated (excluding item 3) under the main text of Article 5-22(1) of the Regulation on Issuance and Disclosure of Securities, etc., using the day before the resolution date of the general shareholders' meeting for the capital reduction or share consolidation, etc. as the base date (the "calculated price"), is below par value, and the conversion price has already been adjusted to par value before the base date (excluding cases where the conversion price may be adjusted below par value), the adjusted conversion price shall be set at not less than the calculated price adjusted upward by the adjustment ratio resulting from the capital reduction, share consolidation, etc. (c) If the conversion price adjusted under items (a) or (b) above is at or below the par value of the issuing company's common shares, the par value shall be the conversion price, and the aggregate issue price of the shares to be issued upon exercise of the conversion right granted to each convertible bond may not exceed the issue price of each convertible bond. If the circumstances requiring adjustment of the conversion price under this item occur multiple times, the conversion price shall be adjusted for each occurrence. (4) Mandatory holding of the bonds by the bondholders: To guarantee Seoryong Electronics, etc.'s exercise of the call option under this section, the underwriters must hold 40% of the total electronically registered amount of these bonds in unconverted form during the call option exercise period.
