(d) Any resulting conversion price is rounded up to the nearest KRW. (1) Method of exercising the call option: Seoryong Electronics, etc. must give written notice to the underwriters between 20 and 10 days before the relevant purchase price payment date (10 to 20 days before, for the 3rd round, counted from 50 to 20 days before that round's payment date), identifying the exerciser, the purchaser, the electronically registered amount of bonds subject to the call, the purchase price, and the payment date; a sale contract is deemed formed on the date each underwriter receives the notice. (2) Purchase price: the electronically registered amount of the bonds subject to the call, plus interest accrued from the bond issue date to the purchase price payment date at an annual compound rate as set out below. Call option rounds (request period from/to, payment date, applicable rate): 1st: 2027-07-25 to 2027-08-04; payment 2027-08-14; rate 100.1000% 2nd: 2027-10-25 to 2027-11-04; payment 2027-11-14; rate 100.1251% 3rd: 2027-12-26 to 2028-01-25; payment 2028-02-14; rate 100.1503% (3) Delivery of the bonds: upon receiving the purchase price, the underwriter delivers the bonds to Seoryong Electronics, etc. (or its designated third party) by electronic registration under the Act on Electronic Registration of Stocks, Bonds, etc. A delay in delivery incurs a penalty of 12% per annum on the purchase price, separate from damages, until actual delivery. (4) Mandatory holding: to secure the call option, underwriters must hold 40% of the total electronically registered bond amount unconverted throughout the call option exercise period. (5) The largest shareholder and its related parties' call option exercise is capped at their equity stake as of this bond's issuance.
